These terms set out the basis on which Formset Digital provides website services and makes this website available.
About these terms
These terms govern your use of this website. Project-specific services are also subject to the scope, price, timings and payment terms set out in the written proposal or agreement accepted by the client. If those project terms conflict with this page, the accepted project terms take priority.
Proposals and payment
A project begins once the proposal has been accepted and any stated initial payment has been received. Prices, payment stages and included revisions will be confirmed before work starts. Unless agreed otherwise, additional work outside the accepted scope may be quoted separately.
Invoices must be paid by the due date shown. Formset Digital may pause work or withhold launch and final files while an invoice remains overdue.
Formset Digital reserves the right to charge interest and recover reasonable costs in relation to overdue business-to-business payments where permitted by applicable law.
Client responsibilities
Clients are responsible for providing accurate information, feedback, approvals and required materials in a reasonable timeframe. Clients must have permission to use all copy, images, logos and other materials they supply.
Delays in receiving content, access or approval may affect an agreed timetable. Any revised timing will be discussed openly.
Clients are responsible for reviewing the website, content and functionality during the agreed review process and notifying Formset Digital of any requested changes within the agreed scope. Final approval confirms acceptance of the completed work, subject to any rights that cannot legally be excluded.
Design, ownership and credit
Once all agreed fees have been paid, ownership of the final approved website work created specifically for the client will transfer as set out in the project agreement. Formset Digital retains ownership of pre-existing tools, reusable methods and third-party materials.
Unless confidentiality or another written agreement prevents it, Formset Digital may display completed work in its portfolio and describe the services provided without publishing confidential information or unverified results.
Third-party services
Websites may rely on third-party hosting, domains, software, plugins or other services. Their availability, pricing and terms are controlled by their respective providers. Formset Digital is not responsible for interruptions or changes outside its reasonable control.
Cancellations and liability
Either party may end a project in line with the accepted project agreement. The client remains responsible for work completed and costs committed up to the cancellation date.
Nothing in these terms excludes liability that cannot legally be excluded. Subject to that, Formset Digital is not liable for indirect or consequential loss, loss arising from client-supplied materials, or failures caused by third-party services or circumstances beyond reasonable control.
Formset Digital does not guarantee any specific level of website traffic, search engine ranking, enquiries, leads, conversions, sales or revenue unless expressly agreed in writing.
Nothing in these terms excludes or limits liability where it would be unlawful to do so. Subject to this, and to the extent permitted by law, Formset Digital's total liability arising from or in connection with a project will not exceed the total fees paid or payable to Formset Digital for that project.
Website information and governing law
Website content is provided for general information and may be updated without notice. Service descriptions and starting prices do not form a binding offer until confirmed in an accepted proposal.
These terms are governed by the laws of England and Wales, and disputes are subject to the courts of England and Wales unless applicable law requires otherwise.
Formset Digital's website design and related services are provided to clients for business purposes. Unless expressly agreed otherwise in writing, these services are not offered to consumers acting wholly or mainly outside their trade, business, craft or profession.
